Terms of Service
1. Agreement
These Terms are an agreement between you and Proxenos Systems PBC, a Delaware public benefit corporation ("we", "us"). They govern your use of this website and of any online service we provide that refers to them (the "Services"). By using the Services you agree to these Terms. If you use them for an organization, you agree on its behalf and confirm you have the authority to do so.
2. Our software
Software we distribute comes with its own license. That license governs your use of the software, and nothing in these Terms limits any right it grants you. A product may have additional terms. If those conflict with these Terms, the product terms apply to that product.
3. Purchases
When you buy through an app store, such as Apple's App Store, that store processes your payment and its terms govern billing, renewals, cancellation and refunds. You manage and cancel subscriptions in your app store account. The price, and the length of any free trial, are shown at the time of purchase.
4. Acceptable use
You agree not to:
- use the Services for anything unlawful, or to harm others;
- attack, probe or disrupt the Services, or place an unreasonable load on them;
- get around usage limits, access controls or payment requirements;
- resell or provide the Services to others unless we agree in writing.
Some of our Services carry encrypted traffic that we cannot read. We enforce these rules using the information we can see, such as how much a service is used.
5. Your responsibilities
You are responsible for:
- your devices, your keys and your backups;
- the third-party services and accounts you connect to our software, and for following their terms;
- what you, and the software you run, do with the Services.
Some of our products are designed so that only you hold your keys. If you lose them, we may be unable to recover your access.
6. Changes and availability
We are a young company and our Services are evolving. We may change, suspend or discontinue any part of them. For a paid Service, we will give reasonable notice of a material change where we can.
7. Suspension and termination
You may stop using the Services at any time. We may suspend or end your access if you break these Terms, or if we must do so to protect the Services or other users, or to comply with the law.
8. Disclaimers
The Services are provided "as is" and "as available". To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not promise that the Services will be uninterrupted, error-free or secure.
9. Limitation of liability
To the fullest extent the law allows, we are not liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, data or goodwill. Our total liability for any claim about the Services is limited to the greater of the amount you paid us for the Services in the 12 months before the claim and US $50.
10. Your rights as a consumer
If you are a consumer, nothing in these Terms limits rights you have under the law of the place where you live that cannot be waived by contract.
11. Governing law
The laws of the State of Delaware, USA, govern these Terms, without regard to its conflict-of-laws rules. Subject to section 10, any dispute will be resolved in the state or federal courts located in Delaware.
12. Changes to these Terms
When we change these Terms, we update the date at the top of this page. If a change is material, we will say so on this site before it takes effect. Continuing to use the Services after a change takes effect means you accept it.
